STANDARD TERMS AND CONDITIONS

1. Scope and Validity

All products offered by Sky Tech Line Kft. and services are governed by these general terms and conditions of sale (hereinafter referred to as the "Terms"), except for any terms and conditions that have been separately agreed upon with the customer in the respective offer or in the order acceptance. The customer is considered to have accepted these terms and conditions as soon as they have been explicitly informed of their existence through the offer. These general terms and conditions remain in effect for the duration of the contract between both parties, until the obligations undertaken are fulfilled.

2. Offer and Order

If the offer lacks the clauses specified in the general terms and conditions, or if any clause is deemed invalid, this does not render the entire contract invalid. Any conditions proposed by the customer that deviate from these, which Sky Tech Line Kft. has not expressly accepted in writing, are considered null and void and non-binding. Other documents issued by Sky Tech Line Kft., including brochures, catalogs, budgets, technical specifications, drawings, etc., are intended solely for informational purposes, and Sky Tech Line Kft. reserves the right to amend them at any time.

The customer may also request a quote through the channels provided by Sky Tech Line Kft., such as email, telephone, proprietary procurement portals, or chat. Through the offer, the customer receives information regarding the price of the product or service, delivery costs, the validity period of the offer, and the prices. Upon acceptance of the offer, the customer commits to receiving the purchased products or requested services and to paying the agreed price.

The order shall encompass only the equipment and materials explicitly detailed in the offer or quotation accepted by the customer. The material or service will be delivered upon acceptance of the offer. The explicit acceptance of the offer shall signify acceptance of the entire document. Offers, plans, drawings, and all other documentation are the exclusive property of Sky Tech Line Kft. and may not be transferred by the customer to any third party without the written consent of Sky Tech Line Kft. The final documentation will be provided after the payment of all invoices.

2.1. Installation and Service Conditions

Set forth by Sky Tech Line Kft. Lifting and crane services are excluded. The installation of the systems necessitates the presence of supporting structures, as well as an electrical power supply, fire alarm, and, where applicable, a fire protection network. The control panels are situated at the base of the curtain (cabling for remote placement is not included). Installations are conducted on weekdays, from Monday to Friday, during daylight hours.

The quoted price does not encompass costs arising from work not specified in the quotation. Should the customer request work that is not included in the quotation or if delays occur that are beyond the control of Sky Tech Line Kft., such services will incur additional charges.

3. Cancellation and Modification of Orders

Orders that have been accepted by Sky Tech Line Ltd. cannot be canceled by the customer without written consent. Cancellations initiated by the customer and accepted by Sky Tech Line Ltd. will incur a fee of 10% of the total cost to cover handling expenses.

4. Delivery Terms

Sky Tech Line Kft. commits to adhering to the delivery deadlines established with the customer; however, the delivery times specified in the documents are for informational purposes only. The customer explicitly acknowledges that delays do not confer any right to compensation or damages.

5. Delivery

If the customer fails to receive the requested products from the warehouse or premises of Sky Tech Line Kft. within a maximum of 21 days from the date of notification, Sky Tech Line Kft. reserves the right to terminate the supply contract.

6. Prices

The customer may request a price quote from Sky Tech Line Kft. at any time for the products of interest. In the event of a price change during production, the customer will be informed, and should they decline the increase, Sky Tech Line Kft. will invoice for the costs incurred up to that moment.

7. Payment Terms

The payment terms are outlined in the offer, order, or quotation and are enforced in accordance with statutory provisions. In the case of late payment, interest on late payments and collection costs must be remitted to Sky Tech Line Kft.

8. Right of Withdrawal

Consumer customers possess the right to withdraw from the order within a period of 14 days. The expenses associated with withdrawal are the responsibility of the customer.

9. Returns

Sky Tech Line Ltd. does not permit the return of any products or services unless explicitly authorized.

10. Warranty

The products of Sky Tech Line Ltd. are protected by a two-year statutory warranty. All systems and products are subject to quality control, and the warranty is applicable solely to systems that have been properly installed and maintained.

10.1 Extended Warranty

Sky Tech Line Kft. may, at its discretion, offer an additional warranty beyond the statutory warranty. The duration of this warranty and the rights conferred to the consumer will be specified by Sky Tech Line Kft. in each instance. To exercise the legal warranty and the commercial warranty, it is imperative to present an invoice or delivery note that verifies the date of delivery or purchase of the product.

10.2. Warranty Invalidation

The warranty for products from Sky Tech Line Kft. is solely provided by the manufacturer, who bears no responsibility for damages arising from improper use or manipulation. The warranty will automatically terminate in the following circumstances, as well as in situations outlined by applicable law:

  • Electrical accidents and the consequent damages arising from improper product handling. Damage resulting from power fluctuations, accidents, or natural disasters.
  • Modifications or alterations not authorized and/or approved by Sky Tech Line Ltd.
  • The systems are neither installed, utilized, nor maintained in accordance with the manufacturer's manual.
  • Curtains, smoke systems, or fire curtains that are not maintained in accordance with the relevant standards are excluded from warranty coverage.
  • The warranty does not encompass or cover routine maintenance inspections or the installation of the product.
  • Neither warranty includes the replacement of parts resulting from wear or cosmetic damage.
  • Batteries, classified as consumables, are subject to a 1-year warranty. Installation or replacement services for products are not included unless Sky Tech Line Ltd. functions as the manufacturer, installer, and maintainer on a continuous basis without the engagement of a third party.

10.3 Warranty Process

The customer reports the defect via email, including the delivery note or purchase invoice, the serial number of the damaged item, or any other identifying information. After identifying the elements, Sky Tech Line Kft. formulates a competitive proposal based on the following data:

Upon receipt of payment or the corresponding order, within the timeframe agreed upon with the customer, Sky Tech Line Kft. will dispatch the parts via express delivery or courier within 48 hours, in accordance with the terms outlined in the commercial offer.

a) The customer is responsible for sending the damaged parts to Sky Tech Line Kft. at their own expense. Within two months, Sky Tech Line Ltd. will produce a technical report for the customer, detailing the cause of the error. If the incident results from a manufacturing defect, the previously paid amount for the part, along with the shipping costs, will be credited. The defective materials will be retained for one month. Should the customer fail to claim the materials within this period, they will be disposed of.

b) In the absence of a manufacturing defect, a financial proposal will be provided for the repair and delivery of the material. Upon receipt of payment, Sky Tech Line Kft. will dispatch the material. Should payment for the repair and delivery not be made, the material will be stored for one month. If payment is not received following this period, the material will be permanently disposed of.

11. Force Majeure

Sky Tech Line Ltd. retains the right to postpone or suspend delivery in the event of force majeure circumstances. The delivery of the products shall occur without any liability, provided it is reasonable under the circumstances necessary. Force majeure refers to any cause or circumstance that is beyond the control of Sky Tech Line Kft., including but not limited to supplier strikes, transportation service failures, disasters, natural floods, storms, riots, labor disputes, sabotage, government intervention, or downtime in Sky Tech Line Kft.'s own workshops due to factors outside its control. In such instances, Sky Tech Line Kft. commits to informing the customer of the occurrence and anticipated duration of the force majeure at the earliest opportunity.

12. Termination of the Contract

In the event of a breach of obligations by the customer, particularly in cases of partial or complete non-payment of invoices issued by Sky Tech Line Kft., the company may, after providing three days' written notice, demand the fulfillment of the contract and the payment of the outstanding amount, which includes default interest and any incurred bank and administrative fees. Alternatively, Sky Tech Line Kft. may request the return of the goods at the customer's expense, along with a 10% penalty based on the total price of the unpaid orders. The customer reserves the right to terminate the contract if Sky Tech Line Kft. fails to fulfill its obligations.

13. Intellectual and Industrial Property

All plans, drawings, ideas, software, data, and other documents related to the order are the exclusive property of Sky Tech Line Kft. The customer may not utilize or transfer these materials to any third party without the prior written consent of Sky Tech Line Kft.

14. Limitation of Liability

The total amount of compensation claims arising from contractual obligations undertaken or not undertaken by Sky Tech Line Kft., its agents, employees, subcontractors, and suppliers shall not exceed the basic contract price and shall exclude damages resulting from loss of profit, income, production, or use.

15. Governing Law, Jurisdiction, and Venue

These general terms and conditions are governed by Hungarian law. In the event of any dispute arising from the application or interpretation of these terms and conditions, the courts and tribunals of Hungary shall have exclusive jurisdiction, which the customers expressly waive.
